The terms contained in this Addendum shall only apply to the Services for Circa offerings (“Circa Services” or “Circa”) on the Order Form between Mitratech and Customer. In the event of a conflict between the terms of the Agreement, the Order Form, and the remainder of this Addendum, the Addendum shall control.
- ATS Changes. Customer shall immediately notify Circa about any changes to their Applicant Tracking System (“ATS”) vendor or the site in which Customers jobs are being mirrored from. If changes are not communicated to Circa, mirroring and other related services listed in the Order Form will cease until the information is updated and no refund shall be provided to Customer.
- Acceptable Use. Customer acknowledges and agrees that:
- Circa does not monitor or police the content of communications or data of Customer or its users uploaded in or transmitted through the Services, and that Circa shall not be responsible for the content of any such communications or transmissions;
- Use of the Services by Customer is limited to internal use with Customer employees during the Term of the Agreement. Redistribution, reselling, or providing access to the Services to any third-party or use of the Services contrary to the permitted use or for purposes not expressly permitted in this Agreement is strictly prohibited;
- Customer agrees not to post within the job postings or on a Circa website any content or data which (i) is libelous, defamatory, obscene, pornographic, abusive, discriminatory, harassing, or threatening; (ii) contains viruses or other contaminating or destructive features; (iii) violates the rights of others, such as data which infringes on any Intellectual Property Rights or violates any right of privacy or publicity; (iv) that is for any purpose other than to advertise employment opportunities; or (v) otherwise violates any applicable law (including, without limitation, the laws and regulations governing export control, unfair competition, antidiscrimination, or false advertising); and
- Customer further agrees not to use the Circa site to solicit users to join or to procure products or services competitive to the Services.
- Miscellaneous.
- With written notice to Customer, Circa reserves the right to delete, move or edit any customer content that it may determine, in its reasonable discretion, violates the Agreement or is otherwise inappropriate for posting.
- Certain Services may require that Customer identify an administrative user name and password for Customer’s account. Circa reserves the right to refuse registration of or cancel passwords it deems inappropriate.
