The terms contained in this Addendum shall only apply to the Services for Training (“Training”) on the Order Form between Mitratech and Customer. In the event of a conflict between the terms of the Agreement, the Order Form, and the remainder of this Addendum, the Addendum shall control.
- License Restrictions. Except as expressly authorized in the Agreement, Customer will not cause or permit any:
- Copying or modification of the products or documentation;
- Distribution, disclosure, marketing, rental, leasing or transfer to any third party of the products or the documentation, or use of the products or documentation for any dial-up, remote access, interactive, Internet-based or other on-line service from which Customer receives compensation from subscription fees;
- Usage.
- Customer must submit a usage report every six (6) months from the Effective Date of the Agreement. The report shall be due no later than the fifteenth calendar day of the following one-hundred and eighty (180) day period, regardless of whether any units or subscriptions have been consumed. Reports should be sent to Training’s Client Services Department via email to: [email protected].
- If the customer’s actual usage of the service exceeds the licensed amount, they will be charged an overage fee, which shall be calculated at the current rate per user (based on the Order Form) plus a 10% overage.
- Upon Termination. Customer upon expiration of the license agreement term must remove and destroy all Company intellectual property related to the Order Form. Providing Company notification of completion within five (5) business days by written communication via email to: [email protected]. Failure to submit proof or removal and destruction will result in annual fee assessments from Training and annual renewal of the license agreement and the then current list price rates.
